1. Agreement to these terms
These Terms of Service (the "Terms") are a binding agreement between you and Automate HQ Inc., a Delaware corporation with its principal office at 50 Alberigi Drive, Jessup, PA 18434, United States ("Squiid", "we", "us"). Squiid is a product of Automate HQ Inc., the company that also operates riivet.ai and restitute.ai. They cover the Squiid website, dashboard, API gateway, command-line tooling and every related service (together, the "Platform").
You accept these Terms when you create an account, click a button that says you accept, or use the Platform. If you are accepting on behalf of a company or other organisation, you confirm you have authority to bind that organisation, and "you" means that organisation.
If you do not agree to these Terms, do not use the Platform. Some parts of the Platform are governed by additional documents that form part of this agreement: the Acceptable Use Policy, the Credits & Refunds Policy, the Privacy Policy and, where it applies, the Data Processing Addendum.
Section 20 contains a binding arbitration clause and a class-action waiver that affect how disputes between us are resolved. Please read it carefully. You may opt out of arbitration within 30 days.
2. Definitions
- Provider: a third-party service available through Squiid (for example Supabase, Vercel, Twilio, Resend, Cloudflare, Anthropic, OpenAI or Stripe).
- Connected Service: a Provider you have enabled on your account, whether Squiid provisioned the underlying account for you or you connected your own.
- Squiid Key: the API key we issue to you, which your code and your agents present to the Gateway.
- Gateway: the Squiid proxy that authenticates a Squiid Key, applies your limits, attaches the correct Provider credential and forwards the request to the Provider.
- Provider Credential: an API key, token or secret issued by a Provider that we hold on your behalf (see Section 9).
- Credits: prepaid balance on your account, denominated in US dollars, used to pay Providers for metered usage at their list price.
- Agent: any automated system acting with your Squiid Key, including coding agents such as Claude Code, Cursor, Codex or an agent you wrote yourself.
- Customer Data: content, prompts, payloads, files and other data you or your Agents send through the Platform, and responses returned by Providers.
3. Eligibility
You must be at least 16 years old and legally able to enter a contract to use Squiid. The Platform is not offered to anyone barred from receiving it under US export control or sanctions law, and you may not use it if you are located in, or ordinarily resident in, an embargoed territory or are on a restricted-party list.
Squiid is a developer tool sold for business and professional use. It is not designed or sold as a consumer product.
4. Your account and account security
You need one account to use Squiid. You must give accurate registration details and keep them current, including a working email address: we send invoices, balance warnings, security notices and expiry warnings there.
You are responsible for everything that happens under your account and with your Squiid Key, including anything an Agent does. Treat the Squiid Key like a production secret: do not commit it to a public repository, paste it into a shared prompt, embed it in client-side code or share it outside your organisation. You can rotate a key at any time from the dashboard, and you should rotate immediately if you believe it has been exposed.
Two-factor authentication
Accounts are protected by email-based two-factor authentication: a single-use code is sent to your verified address when you sign in from a new device or perform a sensitive action such as rotating a key, changing payout details or exporting an audit log. Keeping control of that mailbox is part of keeping control of your account. We may require additional verification before acting on a request that looks unusual.
Team accounts
On Team and Custom plans the account owner can invite members and assign roles. The account owner is responsible for the acts and omissions of every member, and for removing members who leave. Members may be able to see spend, invoices, audit logs and the list of Connected Services; they cannot read Provider Credentials.
5. Plans, seats and subscription fees
Squiid is sold on four plans:

On Solo and Team the top-up fee is tiered and falls as your trailing 30-day API spend through the Platform rises: on Solo, 8% below $100, 6.5% from $100 to $500, 5% from $500 to $2,000 and 3.5% from $2,000 to $10,000; on Team, one percentage point lower at each step (7%, 5.5%, 4% and 3%). The rate applied to a top-up is the rate in effect for your account at the moment you confirm the purchase, and it is disclosed to you before you confirm. The Free plan's rate is a flat 15% and is not tiered.
The Free plan includes budgets, spend caps and alerts, and community support. It does not include porting in an existing account you already hold with a Provider. Solo includes port-ins and unlimited projects. Team adds shared credits, roles, per-member budgets, an audit log, an invoice PDF and email support. Custom is available where spend through the key exceeds $10,000 per month or the account has 20 or more seats, and may add SSO and SCIM, net-terms invoicing and dedicated support.
Platform fees are billed in advance for the period ahead and are charged to the payment method on file through Stripe. Plans renew automatically until cancelled. Adding a seat mid-cycle is charged pro rata; removing a seat takes effect at the next renewal. Team seat prices are banded by the number of seats on the account, and the band is applied to each seat in that band.
You can cancel at any time from the dashboard. Cancellation takes effect at the end of the current billing period; the Platform fee for a period already started is not refundable except where required by law or where we have materially failed to provide the Platform. Custom customers are billed as set out in their order form, which controls where it conflicts with this section.
We may change published prices on 30 days' notice by email. A price change applies from your next renewal, and cancelling before that renewal avoids it.
6. Prepaid credits and the top-up fee
Metered usage at Providers is paid from prepaid Credits. Credits are bought in advance and spent at par: $1 of Credits pays for $1 of Provider usage at the Provider's own list price. Squiid does not mark up Provider usage and does not take a margin on tokens, messages, minutes, gigabytes or requests.
Our fee on usage is taken once, when you buy Credits, at the percentage for your plan shown above. That fee is disclosed before you confirm the purchase and itemised on the receipt. It is a fee for the service of aggregating, funding and reconciling your Providers: it is not part of your Credit balance.
On the Free plan the minimum Credit purchase is $50. The paid plans have no minimum beyond the smallest amount offered in the dashboard.
Credits are a prepayment for services. They are not a deposit, not a security, not electronic money and not a general-purpose stored-value instrument. They have no cash value outside the Platform, earn no interest, and cannot be transferred, sold, gifted or assigned to another account or person.
Credits expire 12 months after purchase if unused. We email a warning before any Credits expire so you have a chance to spend or, where eligible, request a refund. Credits are spent oldest-first.
Unused Credits may be refunded within 24 hours of purchase; the top-up fee is not refundable. Full detail, including what happens at account closure, is in the Credits & Refunds Policy, which forms part of these Terms.
Provider list prices are set by Providers and change from time to time. We pass those changes through as they happen; we do not guarantee the price of any Provider's service.
7. Pass-through service subscriptions
Some Connected Services are sold as a subscription rather than by usage: Supabase Pro at $25 per month, for example. When you enable one of those plans through Squiid we buy it on your behalf and it appears on your monthly Squiid invoice at the Provider's own price, with no Squiid fee added and no percentage taken.
Pass-through subscriptions are charged to your payment method with your Platform fee, not deducted from your Credit balance, unless your dashboard settings say otherwise. They renew on the Provider's cycle. Cancelling a pass-through subscription in the Squiid dashboard cancels it at the Provider at the end of the paid period; downgrades and cancellations are subject to the Provider's own rules, and a Provider that does not refund mid-period means we cannot refund it either.
If a renewal cannot be funded (a failed card, an exhausted balance where you elected to fund subscriptions from Credits) we warn you by email approximately seven days ahead, then pause the plan rather than renew it. A paused plan may lose Provider features immediately (for example a database may be throttled or suspended by the Provider under its own free-tier rules). We are not responsible for what a Provider does to a downgraded account.
8. Spend caps, auto top-up and running out
Your dashboard has controls for how money leaves your account:
- Spend caps: per day, per month, per Connected Service, and per key. When a cap is hit, calls covered by that cap are refused with an error until the cap resets or you raise it.
- Auto top-up: optional. You set a trigger balance, a top-up amount and a maximum spend per period. We charge your payment method when the balance falls below the trigger, up to that maximum. Auto top-up is off until you switch it on, and you can switch it off at any time.
- Alerts: email warnings at balance thresholds you choose.
Caps and alerts are best-effort controls applied at the Gateway. Because some Providers report cost after the fact, meter asynchronously or bill in coarse increments, actual spend can overshoot a cap by a small margin. You remain responsible for usage that a Provider reports late. We will not, however, charge your payment method for usage beyond your auto top-up maximum without asking you first.
What happens at a zero balance
When Credits run out, calls through your Squiid Key pause: the Gateway returns an error to your code and your Agents instead of spending money you have not funded. Nothing is deleted. Your account, keys, Connected Services and audit history stay exactly as they are. Subscriptions that cannot be funded are paused, not renewed (see Section 7). Top up and traffic resumes.
Pausing is a feature, not a failure of the Platform, and we are not liable for loss caused by a pause triggered by an unfunded balance, a spend cap you set or a payment method you let expire.
9. Key custody and what Squiid can see
To give you one key for everything, Squiid holds Provider Credentials on your behalf. Depending on the Provider, we either provision an account or project for you in our name or under our partner arrangement, or we store a credential you supply when you connect an account you already own. Either way we hold that credential as your custodian, for the purpose of routing your traffic and paying for your usage, and for no other purpose.
Provider Credentials are encrypted at rest with keys held in a managed key-management service, decrypted only inside the Gateway at the moment a request is signed, and never displayed in full in the dashboard or in logs. Squiid staff do not have routine access to plaintext credentials; break-glass access is restricted, logged and used only to resolve an incident.
What we can see
Your traffic passes through our Gateway, so we necessarily handle it. By default we record metadata, not content: timestamp, Connected Service, endpoint or model, status code, latency, token or unit counts, computed cost, the key used and the Agent identifier. That metadata is what powers your dashboard, your audit trail and your invoice.
We do not use your prompts, payloads or responses to train models, and we do not sell them. Request and response bodies are not retained by default. You can switch on body capture for debugging on a per-key basis; when you do, captured bodies are retained for the window you choose and you are responsible for whatever personal data that capture contains. We may retain a minimal, short-lived copy of a payload where it is necessary to deliver the request, investigate abuse or comply with law.
Your rights over credentials
Where a Provider allows it, you can export a credential we provisioned for you, or migrate the underlying Provider account into your own name, at any time. Where a Provider does not allow transfer, we will tell you before you rely on it. On account closure we delete stored credentials, and revoke the ones we issued, as described in Section 17.
10. Agent-generated traffic is your responsibility
Squiid exists to be used by autonomous software. That makes one point especially important: every request made with your Squiid Key is treated as your request, whether a human typed it or an Agent decided to make it.
You are responsible for the instructions you give your Agents, the tools and permissions you grant them, the loops they run, the data they send, the content they generate and the money they spend. An Agent that retries forever, fans out a thousand parallel calls, uploads data it should not have, emails people who did not ask to hear from you, or burns your balance in an afternoon is acting as you. Charges incurred that way are payable and are not, by themselves, grounds for a refund.
We give you the tools to contain that risk (spend caps, per-key scoping to named Connected Services, rate limits, kill switches, auto top-up maximums and an audit trail of every call) and we strongly recommend using them before you hand a key to an agent. We may also apply platform-level rate limits and anomaly protections, and may pause a key that appears to be in a runaway loop, compromised or abusive. We will tell you when we do.
You are also responsible for the output your Agents produce with Provider models. Generated code, text and media may be inaccurate, insecure or infringing. Review before you ship.
11. Providers and their terms
Squiid is an aggregator. We are not the operator of Supabase, Vercel, Twilio, Resend, Cloudflare, Anthropic, OpenAI, Stripe or any other Provider, and we do not control their services, prices, features, regions, model behaviour, availability or policies.
A Provider's own terms, acceptable use policy and usage policies flow down to you. By using a Connected Service through Squiid you agree to comply with that Provider's terms as if you had contracted with them directly, and you authorise us to act as your agent to the extent needed to buy and operate that service for you. Where a Provider requires a specific notice, licence restriction, region commitment, data-processing term or acceptable-use rule, that requirement applies to your use through Squiid too. Links to current Provider terms are on each service page in our catalogue.
Providers change. A Provider may deprecate a model, change pricing, restrict a region, suspend an account, or terminate its relationship with us. We will give you as much notice as we reasonably can and help you migrate, but we cannot guarantee the continued availability of any Provider or any particular feature of one. If a Provider suspends or terminates service for something you did, we may pass that suspension through to your account.
Claims about a Provider's own service (quality, downtime, data loss, breach of its terms) are between you and that Provider, except where we have caused the problem ourselves.
12. Acceptable use
Your use of the Platform must comply with the Acceptable Use Policy, which is part of these Terms. In short: no illegal activity, no attacking or overloading the Platform or any Provider, no spam or unlawful messaging, no circumventing a Provider's restrictions, no reselling raw Squiid access as your own aggregator, and no use that would put us in breach of a Provider's terms.
We may investigate suspected violations, and we may suspend a key, a Connected Service or an account to protect the Platform, a Provider, another customer or a third party. Where it is practical and lawful, we give notice and an opportunity to fix the problem first.
13. Your data and your content
As between you and Squiid, you own your Customer Data. You grant us a worldwide, non-exclusive, royalty-free licence to host, process, transmit, display and otherwise use Customer Data solely to operate and support the Platform, to route your requests to Providers, to bill you, and to meet our legal obligations. That licence ends when the data is deleted.
You are responsible for having the rights and, where relevant, the consents needed to send Customer Data through the Platform and on to Providers. If you send personal data of individuals in the EEA, the UK, Switzerland or a US state with a comprehensive privacy law, the Data Processing Addendum applies and we act as your processor (service provider).
We may generate aggregated, de-identified statistics about how the Platform is used (request volumes, error rates, popular categories) and use them to operate, secure and improve the Platform and to publish general usage trends. Those statistics never identify you, your customers or your Customer Data.
Squiid is not a system of record. Keep your own backups of anything that matters.
14. Intellectual property and feedback
The Platform, including the dashboard, the Gateway, our SDKs and CLI, our documentation, the Squiid name, the eye mark and the site design, is owned by Automate HQ Inc. and protected by intellectual property law. Subject to these Terms we grant you a limited, revocable, non-exclusive, non-transferable right to use the Platform for your internal business purposes, including in products you build for your own customers.
You may not copy, modify, reverse engineer, decompile or create derivative works of the Platform, except to the extent that restriction is unenforceable under applicable law; remove or obscure our notices; use the Platform to build a competing aggregation or key-brokering service; or use our name or marks without written permission other than a factual statement that your product is built with Squiid.
Open-source components we distribute are governed by their own licences. If you send us feedback, ideas or feature requests, you grant us a perpetual, irrevocable, royalty-free licence to use them without obligation or attribution.
15. Payments, taxes and invoices
Payments are processed by Stripe, Inc. By paying you also accept Stripe's terms for the payment method you use. We do not store your full card number; Stripe does. You authorise us, through Stripe, to charge your payment method for Platform fees, Credit purchases (including auto top-ups you have enabled), pass-through subscriptions and any taxes due.
Prices are exclusive of tax unless stated otherwise. Sales tax, VAT, GST and similar taxes are calculated and applied by Stripe Tax based on the billing address and tax status you give us, and appear on your invoice. You must give us accurate tax information, including a valid VAT or GST registration number where you claim a reverse charge or exemption, and you are responsible for any assessment arising from information that turns out to be wrong. Withholding taxes, if any apply to you, are your responsibility and do not reduce what is owed to us.
We email a PDF invoice each month covering your Platform fee, pass-through subscriptions, Credit purchases and the fees taken on them, with usage broken down by Connected Service. Invoices are also downloadable from the dashboard. Tell us about a billing error within 60 days of the invoice date (see the Credits & Refunds Policy).
Failed payments may be retried. Amounts more than 15 days overdue may accrue interest at 1.5% per month or the maximum the law allows, whichever is lower, and we may suspend the account until it is settled.
16. Availability, changes and beta features
We work to keep the Gateway up and fast, and we publish status and incident history. Unless you have a written service level agreement with us (available on Custom plans) the Platform is provided without an uptime commitment. Planned maintenance is announced in advance where we can.
We may add, change, deprecate or remove features, and may add or remove Providers from the catalogue. For a change that materially reduces core functionality you rely on, we give at least 30 days' notice by email or in the dashboard where practical.
Features labelled beta, preview, alpha or experimental are provided as-is, may change or disappear without notice, are excluded from any SLA, and should not be used for anything you cannot afford to lose.
17. Term, suspension and termination
These Terms apply from the moment you first use the Platform until your account is closed.
You may terminate at any time by cancelling your plan and closing your account in the dashboard. Refund treatment of Platform fees and Credits is in Section 6 and the Credits & Refunds Policy.
We may suspend a key, a Connected Service or your account immediately where we reasonably believe there is a security risk, a violation of the Acceptable Use Policy, unlawful activity, non-payment, a Provider requirement, or a risk of harm to us, a Provider or a third party. We may terminate for a material breach you do not cure within 14 days of notice, for repeated violations, for an account inactive with a zero balance for 12 months, or on 30 days' notice for convenience (in which case we refund unused Credits and the unused portion of any prepaid Platform fee).
What happens on termination
- Your Squiid Keys stop working and pending Agent traffic fails.
- You have 30 days to export invoices, audit logs and any data we hold for you, unless we terminated for abuse or a legal requirement says otherwise.
- Credentials we hold in custody are deleted and credentials we issued are revoked. Provider accounts we provisioned for you are closed unless you have migrated them to your own name first: do that before you close the account.
- Pass-through subscriptions are cancelled at the end of their paid period.
- Amounts owed stay owed. Sections that by their nature should survive (fees due, intellectual property, disclaimers, limitation of liability, indemnity, dispute resolution) survive.
18. Disclaimers
The Platform is provided "as is" and "as available". To the fullest extent permitted by law, Automate HQ Inc. disclaims all warranties, express, implied or statutory, including merchantability, fitness for a particular purpose, title, non-infringement, and any warranty arising from course of dealing or trade usage.
We do not warrant that the Platform will be uninterrupted, secure or error-free; that a Provider will be available, accurate or continue to exist; that cost estimates, spend caps or usage projections will be exact; or that model output routed through the Platform will be accurate, lawful, non-infringing or fit for your purpose.
Squiid is a plumbing and billing layer. It is not a compliance programme, a security product, an accounting system or professional advice. You are responsible for evaluating whether a Connected Service is appropriate for your use case, including where regulated data (health, financial, biometric, children's or government-restricted data) is involved.
Some jurisdictions do not allow certain disclaimers, so parts of this section may not apply to you.
19. Limitation of liability
To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost data, lost goodwill or the cost of substitute services, even if advised of the possibility.
To the fullest extent permitted by law, Squiid's total aggregate liability arising out of or relating to these Terms or the Platform will not exceed the greater of (a) the total Platform fees and top-up fees you paid to Squiid in the 12 months before the event giving rise to the claim, or (b) US$100. Credits spent at par with Providers, and pass-through subscription amounts, are amounts paid to Providers rather than fees paid to Squiid and are not included in that cap.
In particular, and without limiting the above, we are not liable for spend incurred by your Agents, for service pauses caused by an unfunded balance or a cap you set, for a Provider's acts, omissions, outages, price changes, content decisions or termination, or for your failure to keep your Squiid Key secret.
These limits do not apply to your obligation to pay amounts due, to either party's liability for fraud or fraudulent misrepresentation, for death or personal injury caused by negligence, or to any other liability that cannot be excluded by law. Where a jurisdiction does not allow these limits, they apply to the maximum extent it does allow.
The parties agree these allocations of risk are a fundamental basis of the bargain and reflect the price of the Platform.
20. Indemnification
You will defend, indemnify and hold harmless Automate HQ Inc., its officers, directors, employees and agents from and against any third-party claim, demand, suit or proceeding, and any resulting losses, damages, liabilities, settlements, fines, penalties, costs and reasonable legal fees, arising out of or relating to:
- your use of the Platform or of any Connected Service, including all traffic and spend generated with your Squiid Key by you, your users or your Agents;
- Customer Data, including a claim that it infringes a right or was collected, sent or processed unlawfully;
- your breach of these Terms, the Acceptable Use Policy, or a Provider's terms that flow down to you;
- content your Agents generate or messages they send; or
- your violation of applicable law or of the rights of a third party.
We will notify you of the claim, give you control of the defence (you may not settle in a way that imposes an obligation or admission on us without our consent), and cooperate at your expense. We may participate with our own counsel at our own cost.
21. Governing law, arbitration and class waiver
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. The UN Convention on Contracts for the International Sale of Goods does not apply.
Informal resolution first
Before starting a formal proceeding, send a written description of the dispute and the relief you want to legal@squiid.io and to Automate HQ Inc., 50 Alberigi Drive, Jessup, PA 18434, United States. We will do the same for a dispute we raise. Both parties will try in good faith to resolve it for 30 days. This step is a precondition to arbitration.
Binding arbitration
If we cannot resolve it, any dispute arising out of or relating to these Terms or the Platform will be finally resolved by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules (or, for claims over US$250,000, its Comprehensive Rules) then in effect. The seat is Wilmington, Delaware; hearings may be held by video, and claims under US$25,000 may be decided on documents alone. The arbitrator decides all issues, including arbitrability, except that a court decides the enforceability of the class waiver below. Judgment on the award may be entered in any court of competent jurisdiction. The Federal Arbitration Act governs this section.
Either party may bring an individual claim in small-claims court instead, and either party may seek injunctive relief in court to protect intellectual property or stop unauthorised access.
Class action waiver
Disputes must be brought in an individual capacity only. You and Squiid each waive any right to participate in a class, collective, consolidated, coordinated or representative action, or to have claims joined with those of any other person. The arbitrator may not preside over any form of representative proceeding and may award relief only to the individual party seeking it. If this waiver is held unenforceable for a particular claim, that claim (and only that claim) proceeds in court, and the rest of this section still applies.
Your 30-day right to opt out
You may opt out of arbitration and the class waiver. Email legal@squiid.io with the subject line "Arbitration Opt-Out" within 30 days of first accepting these Terms, including your name, account email and a clear statement that you opt out. Opting out costs nothing and does not affect your account or anything else in these Terms. If you opt out, disputes go to the state or federal courts sitting in Delaware, and both parties consent to their exclusive jurisdiction and venue.
If we materially change this section, you may opt out of the change the same way within 30 days of the notice.
22. Changes to these terms
We may update these Terms. The current version always lives at squiid.io/legal/terms/ with the "last updated" date at the top of this page.
For a material change (one that meaningfully reduces your rights or increases your obligations) we give at least 30 days' notice by email to your account address and by a notice in the dashboard, and the change takes effect on the stated date. Non-material changes, such as clarifications, a new contact address or a corrected typo, take effect when posted.
Continuing to use the Platform after a change takes effect means you accept the updated Terms. If you do not accept them, cancel before the effective date; we will refund unused Credits and the unused portion of any prepaid Platform fee in that case, notwithstanding the usual 24-hour refund window.
23. General
- Entire agreement. These Terms, together with the policies they incorporate and any order form, are the whole agreement between us about the Platform and replace any earlier understanding.
- Order of precedence. A signed order form controls, then the DPA (for data protection matters), then these Terms, then the other policies.
- Assignment. You may not assign these Terms without our written consent, except to a successor to your business by merger or sale of substantially all assets. We may assign to an affiliate or a successor.
- No waiver. Not enforcing a right is not a waiver of it.
- Severability. If a provision is unenforceable, it is limited or removed to the minimum extent and the rest stays in force.
- Notices. We give notice by email to your account address or in the dashboard; you give notice to legal@squiid.io. Notice is effective when sent.
- Force majeure. Neither party is liable for a delay or failure caused by events beyond its reasonable control, including Provider outages, internet or infrastructure failures, acts of government, or natural disasters. Payment obligations are not excused.
- Export and sanctions. You will comply with US export control and sanctions law and will not make the Platform available to a restricted party or embargoed territory.
- US government users. The Platform is a "commercial item" as defined in 48 C.F.R. 2.101, licensed with only the rights granted here.
- No third-party beneficiaries, except that Providers may enforce the flow-down obligations in Section 11 that protect them.
- Independent contractors. Nothing here creates a partnership, joint venture, employment or franchise relationship.
- Language. The English version of these Terms controls.
